Merchant Participation Agreement

This Merchant Participation Agreement (“Agreement”) governs participation by businesses (“Merchant”) on Ofertón Latino, operated by Negron Media Corporation.
By participating in campaigns, publishing offers, purchasing promotional services, or using the Platform, Merchant agrees to the following:
Merchant Responsibility
Merchant is solely responsible for:
- All offers published
- Pricing accuracy
- Product and service quality
- Inventory and availability
- Customer support
- Taxes and permits
- Compliance with laws and regulations
- Offer fulfillment and redemption
Merchant agrees to honor all valid purchases and QR confirmations issued through the Platform.
Platform Role
Ofertón Latino acts solely as:
- A promotional platform
- A digital marketplace
- A technology facilitator
Ofertón Latino is NOT:
- The seller of Merchant products or services
- The provider of Merchant services
- Responsible for Merchant operations
Content Authorization
Merchant grants Ofertón Latino and Negron Media Corporation permission to:
- Record video and photo content
- Publish promotional materials
- Use Merchant logos and branding
- Use campaign content for advertising and marketing purposes
This authorization remains valid unless revoked in writing.
Payments and Campaigns
Campaign fees are non-refundable unless otherwise agreed in writing.
Ofertón Latino reserves the right to:
- Approve or reject campaigns
- Remove offers
- Suspend listings
- Refuse participation
Redemptions
Merchant is solely responsible for:
- Verifying QR codes
- Accepting valid confirmations
- Preventing improper refusals
- Training staff regarding redemptions
Indemnification
Merchant agrees to defend, indemnify, and hold harmless:
- Ofertón Latino
- Negron Media Corporation
- Its owners
- Employees
- Contractors
- Affiliates
- Partners
- Hosts
- Presenters
- Associates
from any claims, damages, liabilities, disputes, lawsuits, costs, or expenses arising from:
- Merchant services
- Merchant negligence
- Customer disputes
- Product defects
- Regulatory violations
- Injuries
- False advertising
- Failure to honor offers
Limitation of Liability
To the maximum extent permitted by law, Ofertón Latino and Negron Media Corporation shall not be liable for:
- Lost profits
- Business interruption
- Merchant losses
- Customer disputes
- Chargebacks
- Technical interruptions
- Fraudulent activity
- Redemption disputes
Termination
Ofertón Latino may suspend or terminate Merchant participation at any time.
Governing Law
This Agreement shall be governed under the laws of the State of Colorado.
Acceptance
By participating on the Platform, Merchant acknowledges acceptance of this Agreement.
